1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

2. INTELLECTUAL PROPERTY RIGHTS

Ownership and Protection

All intellectual property rights, including without limitation, patents, copyrights, trademarks, trade secrets, proprietary information, know-how, and all other intellectual property rights of any type, whether registered or unregistered, related to the Services, including our compression algorithms, software, and technology, are and shall remain the sole and exclusive property of xMAD.ai, C-Corp. These rights are protected by United States and international intellectual property laws and treaties.

Our proprietary compression technology, algorithms, methodologies, and all related improvements, modifications, and derivative works thereof, whether developed by us or jointly with others, shall remain our exclusive property. No rights or licenses are granted except as expressly set forth herein.

3. USAGE RESTRICTIONS

You are strictly prohibited from engaging in any of the following activities:

• Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code, object code, or underlying structure, ideas, or algorithms of the Services
• Modifying, translating, or creating derivative works based on the Services
• Copying, renting, leasing, distributing, or transferring any rights in the Services
• Using the Services for the benefit of any third party or making the Services available to any third party
• Removing or altering any proprietary notices or marks on the Services
• Attempting to bypass or break any security mechanism on the Services

4. PROPRIETARY RIGHTS

The Services embody valuable trade secrets and confidential information of xMAD.ai, C-Corp. You acknowledge that the Services, including all associated intellectual property rights, are the exclusive property of xMAD.ai, C-Corp. You will not take any action to jeopardize, limit, or interfere with our intellectual property rights.

5. LICENSE TERMS

Subject to your compliance with these Legal Terms, xMAD.ai, C-Corp. grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business purposes. This license is revocable at any time at our sole discretion. Any use of the Services not expressly permitted by these Legal Terms is a breach of these Legal Terms and may violate copyright, trademark, and other intellectual property laws.

6. ENFORCEMENT & LEGAL ACTION

xMAD.ai takes the protection of its intellectual property and proprietary rights extremely seriously. Any violation of these Terms of Use will result in immediate and decisive legal action. Specifically, xMAD.ai will:

• Pursue civil litigation for damages, including but not limited to actual damages, statutory damages, and punitive damages where applicable
• Seek criminal prosecution to the fullest extent permitted by law for willful infringement, theft of trade secrets, or other criminal violations
• File for immediate injunctive relief to prevent ongoing or threatened violations
• Pursue monetary compensation for all legal fees, court costs, and related expenses incurred in enforcing our rights
• Report violations to relevant law enforcement authorities, including federal agencies responsible for intellectual property crime and cybersecurity
• Cooperate with industry partners and law enforcement in investigating and prosecuting violations

Jurisdiction and Venue

Any legal action or proceeding relating to your access to, or use of, the Services or these Terms of Use shall be instituted in the courts of Texas, United States. You agree to submit to the jurisdiction of such courts and waive any objection to venue in these courts.

No Waiver

xMAD.ai's failure to enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. Any delay or omission in exercising our rights shall not be construed as a waiver of such rights.

7. LEGAL REMEDIES

In addition to any other legal or equitable remedies, xMAD.ai expressly reserves the right to:

• Seek monetary damages for any losses, including lost profits, business interruption, and damage to reputation
• Obtain temporary and permanent injunctions to prevent unauthorized access, use, or disclosure
• Recover statutory damages as provided by applicable intellectual property laws
• Pursue criminal penalties where available under applicable law
• Seek disgorgement of any profits obtained through unauthorized use of our Services
• Recover enhanced or treble damages as permitted by law for willful infringement

8. TERMINATION

xMAD.ai reserves the right to immediately terminate your access to the Services, without prior notice, if we determine, in our sole discretion, that you have violated these Terms of Use. Upon termination:

• All rights and licenses granted to you shall immediately terminate
• You must cease all use of the Services and destroy any copies of materials obtained from the Services
• You remain liable for any damages resulting from your violation of these Terms
• xMAD.ai maintains the right to pursue any available legal remedies

9. YOUR RESPONSIBILITY

You acknowledge and agree that any violation of these Terms of Use may result in serious legal consequences. You agree to:

• Accept full responsibility for any unauthorized use or disclosure of our intellectual property
• Bear all costs associated with defending or settling any claim arising from your violation
• Indemnify and hold harmless xMAD.ai from any claims, damages, or expenses resulting from your breach
• Cooperate fully in any investigation of suspected violations
• Acknowledge that violations may result in both civil and criminal penalties
